Welcome to OnlyCodez ("we," "us," or "our"). OnlyCodez is a trading name of COS Studio Ltd, a private limited company registered in England and Wales under Company Number 16165516. The registered office address of COS Studio Ltd is 3-7 Temple Avenue, Suite 259 Temple Chambers, London, England, EC4Y 0DA.

These Terms of Service ("Terms") govern your access to and use of our website, www.onlycodez.com (the "Site"), and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

Please read these Terms carefully.

1. Ownership of Generated Code and Template Designs

  • Upon purchasing a design template, you own the customized and generated code ("Generated Code") and may use it for personal or commercial purposes (license terms applied), as outlined in these Terms.
  • The templates may be improved or upgraded periodically, and we reserve the right to change their structure, functionality, or availability as part of these improvements.

2. Example Content Disclaimer

  • All examples shown on the Site, including but not limited to photos, logos, icons, and written content, are provided for demonstration purposes only.
  • We do not commercialise, sell, or transfer ownership of any example content displayed. You are solely responsible for customizing your templates with your own legal and licensed assets, such as text, images, and logos.

3. Pricing and Product Changes

  • We reserve the right to modify prices, promotional offers, or the way a design template is sold at any time without prior notice.
  • This includes the introduction of new pricing tiers, subscription models, or alterations to how templates are packaged or delivered due to upgrades or feature enhancements.

4. Prohibited Activities and Legal Enforcement

  • Purchased designs are licensed to you solely for use in generating customized code. Redistribution, resale, or sharing of the designs or sharing your DubDesigner account is strictly prohibited.
  • The generated code, once customized, can be used for personal or commercial purposes (license terms applied).

5. User Responsibilities

When using the Services, you agree to:

  • Ensure the legality of all content you input into and customize within our design templates.
  • Not use the Services for any unlawful purpose or activity, including distributing harmful or offensive materials.

6. Use of Platform (DubDesigner)

OnlyCodez provides access to customizable form designs exclusively through the DubDesigner platform. When you purchase a design, it is made available to your account—no files are sent or downloaded. You agree not to:

  • Copy, reproduce, or redistribute designs outside of the platform
  • Use a Personal Licence on a client account
  • Attempt to reverse-engineer or extract source code from the DubDesigner platform

7. Licence Types

By purchasing a design, you are granted either a Personal or Commercial Licence based on your selection at checkout.

  • Personal Licence: Limited to use in your own Dubsado account.
  • Commercial Licence: Permits use in client Dubsado accounts. Resale or white-label use is not permitted at this time, though it will be offered in the future.

Using a design beyond your licence type (e.g. applying a Personal Licence to a client project) violates our terms and may result in:

  • Suspension of your DubDesigner access
  • Removal of your stored designs
  • Legal action in case of misuse or unauthorised redistribution

We always recommend selecting the correct licence from the start to ensure you're protected and in compliance.

8. Intellectual Property Rights

  • The Site, Services, and all related content (excluding your Generated Code) are protected by copyright, trademark, and other intellectual property laws.
  • You are granted a limited, non-exclusive, non-transferable licence to use the templates in accordance with these Terms. Any other use, including reproduction, distribution, modification, or creation of derivative works, is strictly prohibited without prior written permission from us.

9. Refunds and Cancellations

  • Due to the nature of our digital products, all sales are final. Once you have accessed the design template or Generated Code, we cannot issue a refund or exchange.
  • If you experience technical issues with a purchase, please contact us at hello@onlycodez.com, and we will do our best to assist you.

10. Limitation of Liability

  • We are not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Services, including but not limited to loss of profits, business interruption, or data loss.
  • The Services are provided "as is" without warranty of any kind, whether express or implied.

11. Changes to Terms of Service

  • We reserve the right to modify these Terms at any time. If we make changes, we will notify you by updating the "Last Updated" date at the top of this page. Your continued use of the Services after any changes signifies your acceptance of the updated Terms.
